Seven questions, answered plainly, plus what opens under NDA and how fast.
1. What is the instrument, and what are its terms?
Priced equity. A priced equity round at the pre-money below. No SAFE, no convertible note, no valuation cap, no discount and no MFN side letter — the price is the price, and it is the same for every investor in this round. The round is US$250,000 at US$1,250,000 pre-money and US$1,500,000 post, for 16.7% of the company. Minimum ticket US$10,000. Every term is rendered from one place in the source and cannot drift between documents.
2. Why this amount?
US$250,000 is what the 18-month plan costs, line by line — the platform work, the programme library, a delivery hire, institutional reach, and the compute and hosting under both properties. It is not a round number chosen first and justified afterwards. Less than US$100,000 does not fund the platform half, and more than this would be raised against a plan we have not written.
3. What does my ticket dilute to?
At US$1,500,000 post-money: US$25,000 is 1.67% of the company and US$50,000 is 3.33%; the full round is 16.7%. The complete table is on the ask page, and it is the only cap-table figure this kit publishes. There is no outside capital today, so there is no earlier layer to sit behind.
4. What is available under NDA, and how do I get it?
The list is below. Write to the investment address, we send a mutual NDA the same day, and the materials follow within two business days of signature.
5. How does this round relate to CEMI.ai?
CEMI is a group of AI initiatives built on shared infrastructure — one research, production and delivery pipeline serving every sector we enter. Investment is open at two levels. At group level, backing the shared platform — the Personai engine, CEMI Factory and CEMI Solutions — which compounds across the whole portfolio. At initiative level, backing a specific sector business approaching commercialization, with its own market, its own customers and its own economics. This round is the second kind: it funds aiLearning and the Smoother Experiences platform, not the group.
6. What are the exit paths?
We promise none, and we would distrust a seed deck that did. The plausible ones are an acquisition by a learning-platform or professional-services buyer for whom a trilingual programme library and a deployed multi-tenant platform shorten years of build; a later institutional round once the recurring line is large enough to be underwritten on its own; or a group-level consolidation inside CEMI.ai. Each depends on the recurring line growing, which is what this round is for.
7. What happens if the round does not close?
Both properties keep operating. Nothing in the plan is needed to keep them alive — they are live and published today, and the open material costs little to keep publishing. What changes is speed: the platform work stretches out, the delivery hire waits, and the services stay the constraint they are now. That is the honest downside, and it is why the minimum viable close is set at the platform half rather than at a token amount.

Under signed mutual NDA:
- Cap table and shareholding history
- Financial model with monthly projections for the plan period
- Revenue to date, run rate and the mix between the streams
- Repository access for both properties, read-only
- Technical architecture review, including the platform’s multi-tenancy and access-control design
- The Smoother Experiences pricing model as currently drafted, marked as the draft it is
- Platform tenancy, catalogue and usage reports
- Client engagement artefacts, with names redacted where the client has not consented to be named
- IP ownership and assignment confirmation for the methodology, the programme library and the platform code
- The subscription and shareholders’ agreement templates
